International Business, Customs, and Overseas Operations & Agreements

In some cases, a business owner/entrepreneur comes to us when there is a problem with a government agency – whether it is the Internal Revenue Service (IRS), the Office of Safety and Health Administration (OSHA), the Environmental Protection Agency (EPA), the Securities and Exchange Commission (SEC) or some other agency. Each has their equivalent on the state level – such as the Missouri Department of Revenue or the Illinois . As an attorney, we can help negotiate with the agency on the business owner’s behalf. Many times, unfortunately, the business owner will not be taken as seriously in terms of negotiations as his or her attorney – so that at times we can obtain a more reasonable hearing and achieve a better result than the business owner or manager on their own.

In some cases, international issues arise sooner rather than later. We have helped businesses navigate import/export and customs regulations, as well as assisted businesses in how to structure proposed overseas operations and agreements. We are fluent in Spanish and, on many occasions, have looked at the impact of the laws of Spain, or of Mexico, or of Brazil, or of the rest of Latin America. In the course of our practice, we also have had to frequently interact with local counsel in Western Europe, Eastern Europe and Russia and, simply because of where the business of our clients has taken us, we have developed contacts with European counsel and familiarity with European law generally. Specific countries where we have assisted businesses and worked with local counsel before include, to date, England, France, Spain, Switzerland, Italy, the Czech Republic, and Poland, as well as Russia and other CIS countires.

In each case, we of course work with local counsel before making any pronouncements regarding specific laws or regulations of any foreign country. But in a preliminary way, we are familiar with the differences among legal systems so as to often be able to give the business owner/entrepreneur a picture of the types of issues he or she will run into in attempting to do business overseas.
